Anthropic Pursues IPO While Seeking to Lock In Founder Control: 7 Founders to Receive 50.1% Voting Power
Odaily News: Anthropic is seeking shareholder approval for a new equity structure that would grant special shares to CEO Dario Amodei and six other co-founders, giving the seven individuals a combined 50.1% voting power over most company matters. This arrangement would be maintained as long as at least three founders continue to hold a minimum percentage of shares. The structure resembles the founder super-voting rights model adopted by tech companies such as Palantir, designed to help the founding team retain control after the company's IPO.
Reports indicate that Anthropic's seven co-founders currently each hold approximately 2% of the company's shares. The new shares carry no additional economic rights and only confer higher voting power. Additionally, Anthropic's long-term benefit trust will retain the power to elect a majority of board members, the number of founder board seats will increase from 2 to 3, and employees will also gain voting rights to break deadlocks on certain matters.
