Odaily Planet Daily News: Zhibao Technology Inc. (ZBAO) has completed a PIPE financing transaction, with investors paying the subscription amount in 2,380 bitcoins, for which the company issued 442 million PIPE units. Based on a fixed reference price of $65,000 per bitcoin, the transaction is valued at approximately $154.7 million. Each PIPE unit consists of one share of Class A common stock and one warrant, which entitles the holder to purchase additional Class A common stock at $0.35 per share within two years. Upon completion of the transaction, the company delivered 395.678152 million PIPE units, with the remaining 46.321848 million units to be delivered after shareholders approve an increase in authorized share capital, without requiring additional capital from investors. Zhibao Technology, an insurance technology company headquartered in Shanghai, China, stated that it will hold the bitcoins on a long-term basis to support daily operations, business expansion, R&D investment, and AI applications integrated with its insurtech business, while advancing its digital asset reserve strategy.
