Odaily News: Japanese memory chip maker Kioxia has announced that its largest shareholder has shifted from Toshiba to BCPE Pangea Cayman2, a special purpose company managed by Bain Capital, whose stake has now risen to 14.19%, holding approximately 77.4 million shares. Since SK Hynix holds convertible bonds (CB) that grant voting rights corresponding to all shares held by this SPC, this change in shareholder structure means that SK Hynix has achieved the status of "de facto largest shareholder" of Kioxia through the Bain SPC, without needing to further increase its stake.
Market observers have noted that this change in largest shareholder does not mean SK Hynix will immediately gain operational control of Kioxia. Currently, SK Hynix does not hold corresponding voting rights, and will only obtain formal voting power after completing competition regulatory approvals and converting the convertible bonds into shares.
