Odaily News: According to a disclosure on August 5 by a shareholder group called "Korea Shareholders' Movement Headquarters," the Gyeonggi Southern Provincial Police Agency has assigned two cases to its first and second investigation departments for formal inquiry.

The group filed a complaint with the National Investigation Headquarters of the National Police Agency on July 22, accusing Samsung Electronics co-CEO Jeon Young-hyun, Vice Chairman Roh Tae-moon, and SK Hynix CEO Kwak Noh-jung of reaching agreements during union performance bonus negotiations without proper due diligence, potentially constituting a breach of fiduciary duty under the Act on the Aggravated Punishment of Specific Economic Crimes.

(Note: Breach of fiduciary duty refers to actions where a trustee, such as a corporate executive, intentionally violates trust and abuses their authority to handle the property affairs of another party—in this case, the company or its principals—thereby causing property losses to the principal.)

The agreements in question were finalized in May of this year—Samsung will provide a special bonus equivalent to 10.5% of semiconductor business performance profits, while SK Hynix has established a profit-sharing mechanism that allocates 10% of semiconductor division operating profits to employee bonuses.
