美SEC提交白宫审查股东提案规则改革,上市公司治理格局或生变

2026-08-31 15:38

Odaily News - The U.S. Securities and Exchange Commission (SEC) plans to repeal existing rules governing shareholder proxy proposals at listed companies. Last week, the SEC submitted the relevant proposal to the White House Office of Management and Budget (OMB) for review, marking the latest step in formally advancing the regulatory adjustment.

This move is part of SEC Chairman Paul Atkins' efforts to reshape the relationship between shareholders and management at listed companies. Current rules allow eligible shareholders to submit proxy proposals to listed companies and seek to include related resolutions in corporate shareholder meeting votes.

If the rules are ultimately repealed, the ways in which shareholders of listed companies participate in corporate governance, submit proposals, and influence management decisions could undergo significant changes, potentially also altering the dynamics between activist investors and listed companies.

The plan remains under regulatory review at this stage, and the final rules and specific implementation details have yet to be determined. (Bloomberg)
