YZi Labs Questions 10X Capital's Undisclosed Over 5% Stake in CEA Industries, Demands SEC Filing Clarification

Odaily News YZi Labs issued a statement claiming that according to the company's latest filings, 10X Capital Asset Management LLC and its affiliates may have held over 5% of the company's issued common stock by the end of 2025, but have not yet filed the Schedule 13D disclosure form required by the U.S. Securities and Exchange Commission (SEC).

YZi Labs pointed out that based on publicly disclosed warrant exercise data, approximately 2.376 million warrants have been exercised, corresponding to a share ratio of about 5.39% of the company's issued shares. YZi Labs stated that it did not exercise the related warrants itself, therefore speculating that these shares primarily originated from 10X-affiliated entities.

The statement also noted that 10X and company director Hans Thomas have not publicly explained the shareholding ratio nor filed the required shareholding disclosure documents as per regulations. YZi Labs calls on the relevant parties to clarify their shareholding situation as soon as possible and disclose whether there exists an "associated shareholding group" requiring disclosure under Section 13(d)(3) of the Securities Exchange Act.
