Phillips表示：“根据Howey测试，如果某物是一个合同、交易或计划，一个人把他的钱投入一个联合投资企业，并期望利润完全来自发起人或第三方的努力，那么它就是一种证券。

所以，如果有人通过发行治理代币筹集资金，用于开发DeFi应用程序或类似的产品，这就是发行证券，应该受到SEC监管。这个测试很清楚，已经使用了近80年，试图混淆这一事实是恶意的。”（CoinDesk）
